About These Terms & Acceptance

These Terms & Conditions ("Terms", "Agreement") govern access to and use of the Town Walker website and the purchase or use of services provided by Town Walker ("Town Walker", "Company", "we", "us" or "our"). Town Walker provides digital, technology, e-commerce and marketplace-related professional services, including website development, application development, e-commerce development, marketplace onboarding, account management, product listing, advertising support and registration assistance.

These Terms apply to every customer, client, business, seller, user or visitor ("Customer", "Client", "you", "your") who accesses our website or purchases, requests or uses our services.

Eligibility

The customer represents that they are legally capable of entering into an agreement; that information supplied to Town Walker is accurate and complete; that they have authority to purchase services on behalf of a business or organization where applicable; and that they will comply with applicable laws and third-party platform rules. Where a customer acts on behalf of a company, firm or other organization, the person placing the order represents that they have authority to bind that organization.

Services We Provide

Website Development

Business and e-commerce website development, landing pages, custom design and customization, maintenance, product catalog integration, payment gateway and third-party API integration, deployment, optimization and other agreed website-related services. The exact scope of each project is set out in the quotation, proposal, invoice, order confirmation or written communication agreed with the customer.

Application Development

Android and iOS application development, web applications, e-commerce applications, custom software development, API and database integration, and application maintenance/updates. Unless specifically included in the quotation, third-party developer account fees, hosting, cloud services, API fees, app-store fees, licenses and subscriptions are the customer's responsibility.

E-Commerce & Marketplace Services

Online store development, product upload and catalog setup, payment and shipping integration, store configuration, listing optimization and marketplace integration — scope depends on the package purchased. Town Walker may also provide onboarding, account management, listing and related support for third-party marketplaces including Amazon, Flipkart, Meesho, Etsy, eBay, Walmart, Alibaba, AJIO, Myntra, Snapdeal, JioMart, Shopsy, LimeRoad, BigBasket, Blinkit, Zepto, Swiggy, Zomato, Instamart, Flipkart Minutes and other platforms. Town Walker may add or discontinue support for particular platforms at its discretion.

Onboarding, Account Management & Listing Services

Town Walker may assist with seller account registration and onboarding, KYC/document preparation, store and catalog setup, seller profile configuration, account-related documentation and marketplace application support. The final approval of any seller account is controlled by the relevant marketplace, and Town Walker does not guarantee approval where it depends on the marketplace's independent review.

Account management may include product listing, catalog and store management, account support, order-related coordination, listing updates, account monitoring and marketplace communication assistance, depending on the customer's package. Where Town Walker assists with account relaunch or recovery, the final decision on reinstatement, suspension removal or activation rests with the relevant platform — reinstatement is not guaranteed.

Product listing services may cover titles, descriptions, bullet points, search keywords, attributes, catalog creation, uploads, optimization and A+ content where applicable, using images supplied by the customer. The customer remains responsible for ensuring product information, specifications, prices, claims, certifications and legal disclosures are accurate. Approval, rejection or modification of A+ content or listings by a marketplace is outside Town Walker's control.

Advertising management may include campaign setup, keyword research, optimization, monitoring and reporting where included in the selected package. Advertising expenditure paid to third-party platforms is separate from Town Walker's professional service fees unless expressly stated otherwise, and Town Walker does not guarantee sales, revenue, ranking, impressions, clicks or advertising return.

Registration, Dropshipping & Third-Party Services

Town Walker may assist with GST registration, trademark filing/documentation, and food licence/registration processes where offered. In each case, the customer is responsible for providing accurate documents and information, and approval, rejection, clarification requests and processing time are determined by the relevant government or regulatory authority — Town Walker does not guarantee approval, registration or a particular outcome. Government fees and other third-party charges may be separate from Town Walker's professional fees.

Town Walker may also assist with e-commerce or marketplace dropshipping, including store setup, product listing and research, catalog setup, supplier-related assistance and marketplace/e-commerce configuration. Town Walker does not guarantee supplier availability, product margins, sales, revenue, delivery performance, inventory availability or marketplace acceptance, and the customer remains responsible for ensuring their business model, products and activities comply with applicable law and marketplace policies.

Many services depend on third-party platforms, which may independently change fees, policies, algorithms, seller or verification requirements, technical systems, account rules, listing requirements or advertising systems. Town Walker is not responsible for changes made independently by such third parties.

Customer Responsibilities

The customer must provide accurate, complete and current information, which may include name, business details, GST/PAN or other tax information, bank details, KYC documents, product and brand information, images, pricing, certifications, contact information and login/access information where necessary. The customer is responsible for ensuring documents supplied are genuine, valid and legally usable — Town Walker will not knowingly assist with fraudulent, forged or misleading documents.

Where account access is required, the customer authorizes Town Walker to use such access solely for performing the agreed services. The customer remains responsible for ownership of the account, accuracy of account information, compliance with marketplace rules, account security, and any information submitted under the customer's business identity. Town Walker should not be held responsible for pre-existing account violations or restrictions caused by the customer's prior activities.

The customer must reasonably cooperate with Town Walker; delays caused by failure to provide information, documents, approvals or access may affect project timelines, and Town Walker is not responsible for delays caused by customer non-cooperation.

The customer represents that products and services promoted, listed or sold through their business are lawful and comply with applicable laws and marketplace policies, and remains responsible for product authenticity, quality, safety, licenses, certifications, pricing, taxes, packaging, shipping, returns and consumer obligations. Town Walker does not become the seller, manufacturer or legal owner of the customer's products merely by providing digital services.

Payments, Pricing & Refunds

Fees are communicated through the quotation, proposal, invoice, order confirmation, website package or written communication. Unless otherwise specified, third-party expenses are separate. Town Walker may require full or partial advance payment before starting work, with the payment structure communicated before commencement. Work outside the agreed scope — such as additional pages, features, products, integrations, revisions, marketplace accounts or advertising work — may require additional charges. Applicable taxes, including GST where applicable, may be charged in accordance with law.

Refund Policy

Refunds are governed by Town Walker's separate Refund & Cancellation Policy. As a general rule, a refund request must be submitted within 7 calendar days from the date of payment; requests submitted after this period will generally not qualify, subject to applicable law. The 7-day period is a deadline for submitting a request — it is not an unconditional guarantee of a full refund. Once work has commenced, Town Walker may deduct or retain amounts attributable to work performed and non-refundable third-party expenses, subject to applicable law and the refund policy.

Intellectual Property & Confidentiality

The customer retains responsibility for content, product information, logos, photographs, trademarks, videos, documents and other materials they supply, and grants Town Walker permission to use such materials solely to provide the contracted services. By providing materials, the customer represents that they have the necessary rights or permissions to use them, and agrees not to provide material that infringes another person's intellectual property rights.

Websites, applications and e-commerce stores may use third-party plugins, APIs, fonts, libraries, software, themes, templates, payment gateways, hosting services and other external services, which may be subject to separate licenses and terms.

Unless expressly transferred in writing, Town Walker retains ownership of its pre-existing code, frameworks, development methods, internal tools, templates, processes, know-how, reusable components, business systems and proprietary materials — payment for a project does not automatically transfer this pre-existing intellectual property. Unless otherwise agreed in writing, Town Walker may identify completed work as part of its professional portfolio, while respecting any agreed confidentiality requirements.

Both parties should take reasonable steps to protect confidential business information received from the other, and should not disclose it to unauthorized persons except where required by law, necessary to provide the service, required by a relevant platform/provider, already publicly available, or authorized by the information's owner.

Warranties, Limitations & Disclaimers

Town Walker will make reasonable efforts to provide services according to the agreed scope; however, timelines may depend on customer approvals, availability of information, third-party platforms, government authorities, hosting providers, payment gateways, APIs, marketplace reviews and other technical dependencies.

Unless expressly provided in a written agreement, Town Walker does not guarantee specific sales, revenue or profit; marketplace approval; account reinstatement; search ranking; advertising performance; website traffic or application downloads; conversion rates; customer acquisition; product approval; or government approval. Town Walker is not responsible for losses arising solely from failures, outages, policy changes or decisions of third-party platforms, hosting providers, payment gateways, marketplaces, government authorities, advertising networks or other external service providers.

No website or application can be guaranteed to operate without interruption under every technical condition — issues may arise from server or hosting failures, cyber incidents, API or browser changes, operating system updates, third-party plugins, domain problems, payment gateway issues or other external services; Town Walker will make reasonable efforts to address issues within its agreed scope. Unless maintenance is expressly included in the purchased package, post-delivery maintenance, updates, modifications and technical support may be charged separately, and changes requested after approval or delivery may be treated as additional work.

Suspension, Termination & Disputes

Town Walker may temporarily suspend services where payment is overdue, required information is not provided, customer instructions are unlawful, fraudulent activity is suspected, third-party account access is unavailable, the customer breaches these Terms, or continuing the service creates legal or security concerns. Either party may request termination of an ongoing service relationship subject to the applicable service agreement and payment/refund terms; termination does not automatically cancel amounts already earned or expenses already incurred.

Customers must not use Town Walker's services to commit fraud, sell illegal products, submit forged documents, infringe intellectual property, mislead customers, circumvent marketplace rules, engage in unlawful activities, abuse Town Walker's employees or representatives, or attempt unauthorized access to systems — Town Walker may refuse or discontinue services where necessary.

Customers are responsible for keeping their own account credentials secure and should notify Town Walker promptly of any suspected unauthorized access. Town Walker uses reasonable measures to protect information under its control but cannot guarantee absolute security of internet-based systems.

Dispute Resolution & Governing Law

Customers are encouraged to contact Town Walker first to resolve any dispute in good faith, and the parties should attempt to resolve genuine service disputes through written communication before initiating formal proceedings, where legally appropriate. These Terms are interpreted in accordance with the applicable laws of India, subject to mandatory rights and protections applicable to the customer. Any dispute is subject to the jurisdiction of the competent courts having jurisdiction over the matter, determined based on applicable law and the parties' valid contractual arrangements. Failure by Town Walker to enforce any provision of these Terms immediately does not mean it has waived its right to enforce that provision later.

General Terms

Town Walker may update these Terms from time to time to reflect changes in services, technology, marketplace requirements, applicable law or business operations. The latest version published on the website applies to future use and purchases, subject to applicable law. If any provision of these Terms is found invalid, unlawful or unenforceable, the remaining provisions continue to operate to the extent legally permitted.

These Terms, together with the applicable quotation, invoice, service agreement, order confirmation and other expressly incorporated policies, constitute the agreement governing the relevant service; where documents conflict, the specific written service agreement may control the particular project to the extent legally permissible.

The customer agrees that Town Walker may communicate electronically via email, WhatsApp, telephone, website forms or other agreed digital channels for quotations, approvals, project updates, invoices and service-related information. Where a customer approves a design, listing, content, feature or other deliverable through email, WhatsApp or another agreed method, Town Walker may treat this as authorization to proceed — the customer remains responsible for reviewing information before approving.

Town Walker will not be responsible for delays caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, war, government restrictions, internet outages, major cyber incidents, platform or hosting failures, power failures, strikes, government action, or other third-party service interruptions.

Town Walker operates as an independent service provider; nothing in these Terms creates an employment relationship, partnership, joint venture or agency relationship with the customer unless expressly agreed in writing. Town Walker may assist the customer with marketplace requirements, but the customer remains responsible for operating their seller account in accordance with applicable marketplace rules and should independently review the policies of each marketplace where they operate.

Contact & Final Acknowledgement

By purchasing or using Town Walker's services, the customer confirms that they have read these Terms & Conditions; understand the nature and scope of the services; understand that third-party marketplace and government decisions may be outside Town Walker's control; understand the 7-day refund-request requirement; understand that services already commenced may not be fully refundable; agree to provide accurate documents and information; agree to comply with applicable laws and third-party platform policies; and accept the terms applicable to the service purchased. By continuing to use the Town Walker website or purchasing Town Walker's services, you acknowledge and accept these Terms & Conditions.

For transparency, Town Walker recommends that customers also read its Refund & Cancellation Policy, Privacy Policy, Disclaimer Policy and Shipping/Delivery Policy (where applicable) before purchasing services. Town Walker reserves the right to update these policies when necessary, subject to applicable law.
